Deltabridge Expert Analyst Code of Conduct

This Code of Conduct (the "Code") outlines the ethical standards and professional expectations applicable to all individuals participating in the Deltabridge ("we", "us", "our") Expert Analyst Programme (the "Programme"). As an Expert Analyst ("Analyst", "you", "your"), your adherence to this Code is fundamental to maintaining the trust of our clients, the integrity of our intelligence platform, and the reputation of Deltabridge.

This Code is designed to guide your conduct and ensure that all analysis, advice, and interactions associated with Deltabridge meet the highest professional and ethical standards.

1. Definitions

In this Code of Conduct, the following terms shall have the meanings ascribed to them below:

 

  • "Analyst" or "Expert Analyst Affiliate": Refers to you, an individual participating in the Deltabridge Expert Analyst Programme, engaged to provide expert analysis and related services.

  • "Client(s)": Refers to any individual, company, or other entity to whom Deltabridge provides services, and for whom or in relation to whom the Analyst may perform services or provide Deliverables.

​

  • "Code": Refers to this Deltabridge Expert Analyst Programme Code of Conduct, as may be amended from time to time.

​

  • "Company", "Deltabridge", "we", "us", "our": Refers to Deltabridge Group Ltd., a private company incorporated under The Companies Act 2006 in the United Kingdom, with company number 16245944.

​

  • "Confidential Information": Includes, but is not limited to:

    • Any non-public information relating to the business, affairs, finances, operations, clients, suppliers, plans, strategies, trade secrets, know-how, methodologies, software, or personnel of Deltabridge or its Clients.

    • Any Personal Data processed in connection with the Programme.

    • The content of any Deliverables prior to their authorised disclosure.

    • Any information designated as confidential by Deltabridge or its Clients, or which by its nature should reasonably be understood to be confidential.

  • "Conflict of Interest": A situation in which an Analyst's personal interests, or their duties to another party, could or could appear to:

    • Compromise their ability to act with objectivity and in the best interests of Deltabridge or its Clients.

    • Improperly influence their judgment or actions in the performance of their duties under the Programme.

  • "Deliverables": Refers to any work product, analysis, reports, data, documents, materials, or other outputs created or provided by the Analyst for Deltabridge or its Clients in connection with the Programme.

​

  • "Intellectual Property": Includes all patents, copyrights, design rights, trademarks, service marks, trade secrets, know-how, database rights, moral rights, and any other intellectual or industrial property rights, whether registered or unregistered, and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection in any part of the world.

  • "Personal Data": Refers to any information relating to an identified or identifiable natural person, as defined by applicable data protection laws (such as the UK GDPR, UK Data Protection Act 2018, and POPIA).

​

  • "Programme": Refers to the Deltabridge Expert Analyst Programme.

2. Core Values and Principles

Deltabridge is committed to the following core values, which all Analysts are expected to uphold:

  • Integrity and Honesty: Acting with truthfulness, accuracy, and transparency in all professional dealings.

​

  • Professionalism: Conducting oneself with competence, diligence, skill, and respect towards clients, Deltabridge personnel, and fellow Analysts.

​

  • Objectivity and Impartiality: Providing unbiased, fact-based analysis and advice, free from undue influence or personal prejudice.

​

  • Confidentiality: Protecting all sensitive, proprietary, and non-public information entrusted to you by Deltabridge or its clients.

​

  • Quality and Excellence: Striving to deliver high-quality, thorough, and insightful work that meets Deltabridge's standards and client expectations.

​

  • Compliance with Law: Adhering to all applicable laws, regulations, and professional standards in all jurisdictions where you operate or where your services have an impact.

3. Professional Conduct

As an Expert Analyst, you agree to:

  • 3.1. Accuracy and Diligence:

    • Perform your duties with thoroughness, due care, and diligence.

    • Ensure that all information, analysis, and reports provided are accurate, well-researched, and presented clearly.

    • Verify sources of information and methodologies employed in your analysis.

​

  • 3.2. Objectivity and Impartiality:

    • Base your analyses and conclusions on objective evidence and sound professional judgment.

    • Avoid allowing personal biases, relationships, or external pressures to influence your professional findings or advice.

    • Clearly distinguish between fact, informed opinion, and speculation in your reports and communications.

  • 3.3. Respectful Communication:

    • Communicate professionally and respectfully with Deltabridge staff, clients, and other stakeholders.

    • Refrain from any form of harassment, discrimination, or offensive behaviour.

​

  • 3.4. Competence and Professional Development:

    • Only undertake assignments for which you have the necessary skills, knowledge, capacity and experience.

    • Maintain and enhance your professional competence through ongoing learning and development relevant to your field of expertise.

  • 3.5. Timeliness:

    • Meet agreed-upon deadlines for deliverables and communications, informing Deltabridge promptly of any potential delays.

4. Confidentiality and Data Protection

The nature of Deltabridge's work in critical sectors means that you may have access to highly sensitive information.

​

  • 4.1. Handling Sensitive Information:

    • Treat all information received from Deltabridge or its clients, which is not publicly available, as strictly confidential.

    • Use confidential information solely for the purpose of fulfilling your agreed-upon duties for Deltabridge.

    • Limit access to confidential information to those who have a legitimate need to know and who are bound by similar confidentiality obligations.

  • 4.2. Non-Disclosure:

    • Do not disclose, share, or disseminate any confidential information to any third party without the prior written consent of Deltabridge and, where applicable, the relevant client.

    • This obligation of non-disclosure extends indefinitely, even after your affiliation with Deltabridge ends.

​

  • 4.3. Data Security:

    • Implement and maintain appropriate physical, technical, and administrative safeguards to protect all confidential information and personal data from unauthorised access, use, disclosure, alteration, or destruction.

    • Comply with any specific data security protocols or requirements provided by Deltabridge.

​

  • 4.4. Compliance with Data Privacy Laws:

    • Strictly adhere to all applicable data protection and privacy laws and regulations, including but not limited to the UK General Data Protection Regulation (UK GDPR), the UK Data Protection Act 2018, and any other relevant national or international data privacy laws relevant to the data you process.

    • Notify Deltabridge immediately of any suspected or actual data breach or security incident involving Deltabridge or client data via privacy@deltabridge.io.

5. Conflicts of Interest

  • 5.1. Definition: A conflict of interest arises when your personal interests (financial, familial, or otherwise) or your duties to another party could, or could appear to, improperly influence your judgment or actions in performing your duties for Deltabridge.

  • 5.2. Disclosure: You must promptly disclose to Deltabridge, in writing, any actual, potential, or perceived conflict of interest as soon as you become aware of it.

​

  • 5.3. Avoidance:

    • Take all reasonable steps to avoid situations that could lead to a conflict of interest.

    • Do not engage in any activity that could compromise your objectivity or loyalty to Deltabridge or its clients.

    • Deltabridge will work with you to determine the appropriate course of action if a conflict of interest is identified, which may include recusal from a particular project or task.

6. Intellectual Property

  • 6.1. Deltabridge and Client Intellectual Property:

    • Respect and protect the intellectual property rights (including copyrights, trademarks, patents, trade secrets, and proprietary methodologies) of Deltabridge and its clients.

    • Unless otherwise agreed in writing, any work product, analysis, reports, or materials you create specifically for Deltabridge or its clients in connection with the Programme ("Deliverables") shall be the exclusive property of Deltabridge or the client, as determined by the agreement between Deltabridge and the client. You agree to assign all rights, title, and interest in such Deliverables to Deltabridge or its designee.

  • 6.2. Third-Party Intellectual Property:

    • Ensure that your work does not infringe upon the intellectual property rights of any third party.

    • Properly attribute and cite all sources used in your analysis and reports. Obtain necessary permissions if using copyrighted material beyond the scope of fair use or fair dealing.

7. Use of Deltabridge Resources and Platform

  • If provided with access to Deltabridge's proprietary platforms, tools, data, or other resources, you agree to:

    • Use such resources solely for the authorised purpose of fulfilling your duties under the Programme.

    • Not share your access credentials with any unauthorised individuals.

    • Comply with all terms of use and security protocols associated with such resources.

8. Reporting Violations

  • 8.1. Duty to Report: You have a responsibility to report any suspected or actual violations of this Code, or any other unethical or illegal conduct related to Deltabridge business, that you become aware of.

  • 8.3. Non-Retaliation: Deltabridge prohibits any form of retaliation against an Analyst who, in good faith, reports a concern or participates in an investigation.
     

9. Consequences of Breach

Any breach of this Code of Conduct may result in disciplinary action, up to and including:

  • Immediate termination of your Expert Analyst Affiliate Agreement with Deltabridge.

  • Withholding of payments.

  • Legal action to recover damages or seek injunctive relief.

  • Reporting to relevant professional bodies or law enforcement authorities, where appropriate.

 

The specific action taken will depend on the severity and nature of the breach, any previous breaches, and other relevant circumstances.

10. Amendments to The Code

Deltabridge reserves the right to modify this Code of Conduct at any time. Users will be notified of any changes, and continued use of the Platform constitutes acceptance of the revised Code.

By participating in the Deltabridge Expert Analyst Programme, you acknowledge that you have received, read, understood, and agree to abide by this Code of Conduct and any future amendments thereto as may be communicated to you by Deltabridge. You understand that compliance with this Code is a condition of your continued affiliation with Deltabridge.
